TURBOMOLE Version 5.6 Software License Agreement              September 22, 2003

The OSC currently has a license for Turbomole (hereinafter called SOFTWARE) 
that allows ONLY academic use.  Our agreement with the University of Karlsruhe,
requires that we make a good-faith effort to inform each individual granted 
academic access of the common understandings governing academic usage of 
SOFTWARE.  

1. University of Karlsruhe grants to Licensee a non-exclusive and 
non-transferable license to use the TURBOMOLE computer software program 
upon the following terms and conditions.

2. Title to the Software does not pass to the Licensee.

3. Licensee obtains only a non-exclusive license to use an object code 
version of the Software for its academic research and teaching purposes.

4. Licensee shall not copy the Software except for back-up purposes.

5. Licensee shall not transfer or license the use of the Software to any 
third party.

6. The Software constitutes highly valuable property of Karlsruhe and contains 
trade secrets and confidential information owned by Karlsruhe. Licensee shall 
maintain the confidentiality of the Software and shall not disclose all or 
any portion of the Software to any third party, as per laws of the State of Ohio.

7. Licensee shall not decompile, disassemble or otherwise reverse engineer 
the Software, or modify or create derivative works of the Software.

8. Licensee shall not use the Software for commercial purposes or to provide
 consulting services to commercial parties.

9. Licensee acknowledges that TURBOMOLE is a research tool that is being supplied
 "as is", without any accompanying services and warranties.
